Our Transaction Consultancy Process
Navigator Consulting provides transaction support and strategic advisory services to selected clients in connection with investment promotion campaigns as well as due diligence and consulting support for underlying asset disposals, corporate restructurings, and investment situations.
We are a consulting firm: We are not a licensed investment broker, securities dealer, or regulated placement agent. Where required, transactions are executed in cooperation with licensed financial, legal, and regulatory professionals.
Our role in terms of transaction consultancy is to support structured dialogue and disciplined process management between counterparties. Please note that we explicitly do not provide investment recommendations or ratings to the general public or for listed entities.
Our transaction support process includes the following steps:
1. Initial Introduction
Prospective counterparties are invited to submit a brief professional introduction outlining:
-
Name and position
-
Organisation represented
-
Nature of interest (strategic acquirer, financial investor, advisor, etc.)
This allows us to determine whether there is a potential basis for further discussion and exchange of confidential information.
2. Confidentiality & Process Alignment
Where preliminary alignment exists:
-
A mutual Non-Disclosure Agreement may be executed
-
The parties clarify authority to engage in exploratory discussions
-
Where appropriate, counterparties may confirm their capacity to evaluate a transaction
Navigator Consulting does not conduct regulated KYC, suitability assessments, or investment qualification procedures. Such matters remain the responsibility of the relevant licensed financial institutions and counterparties.
3. Information Sharing
Following agreement on confidentiality:
-
An Information Memorandum or summary documentation may be shared
-
Structured discussions may take place
-
Additional information may be made available subject to client approval
All materials are provided for discussion purposes only and do not constitute an offer to sell securities or a solicitation to invest.
4. Direct Counterparty Engagement
Where interest progresses:
-
Counterparties engage directly with asset owners and their legal and financial advisors
-
Indicative proposals may be discussed on a non-binding basis
Navigator’s role is limited to project coordination and consultancy support.
5. Professional Execution
Any formal transaction, if pursued, is conducted:
-
Through licensed legal, financial, and regulatory professionals
-
In accordance with applicable laws and jurisdictional requirements
Navigator Consulting does not provide regulated investment advice, brokerage services, or underwriting activities.
Important Notice
Navigator Consulting acts as a transaction consultant under private mandate. We do not act as a securities intermediary, broker-dealer, investment firm, or regulated financial advisor.
All parties are responsible for obtaining independent legal, financial, tax, and regulatory advice prior to entering into any binding agreement.
